SEC proposed Transfer Agent Rules (Release No. 34-106246, File No. S7-2026-30)Updated 8 Nov 2026
The SEC's proposed overhaul of the rules for registered transfer agents, largely unchanged since they were adopted around 1980. It adds new rules, amends the registration and annual reporting forms (TA-1 and TA-2) and moves record-keeping requirements to technology-neutral objectives. For tokenisation it matters because transfer agents keep the official record of securityholders, and the proposal anticipates that record being kept partly or wholly on a distributed ledger.
Consultation closed · part of SEC framework for tokenised securities and crypto assets (federal securities laws, staff statements and exemptive relief)
Key points
- New Form TA-2 questions would ask how many issues a transfer agent serviced with physical certificates, and for how many it kept the master securityholder file on a distributed ledger.[1]
- Record-keeping rules would refer to 'electronic recordkeeping systems' instead of specific storage media, continuing a technology-neutral approach.[1]
- The release discusses transfer agents that whitelist wallet addresses for holding tokenised securities and use a ledger as part of the master securityholder file.[1]
